1. Agreement to Terms
By accessing our website at hseqconsulting.co.za or engaging our services, you agree to be bound by these Terms of Service ("Terms") and all applicable South African laws and regulations. If you do not agree with any of these terms, you may not use our website or services.
These Terms govern the relationship between HSEQ Consulting (Pty) Ltd ("HSEQ Consulting", "Company", "we" or "us") and you as a client, prospective client, or website visitor.
2. Services
HSEQ Consulting provides the following professional services:
- HSSE (Health, Safety, Security and Environment) compliance consulting
- Project management for petroleum, construction, and mining sectors
- Architectural documentation and technical drawing services
- Contractor management and site supervision
- Training, auditing, and regulatory compliance advisory
The specific scope, deliverables, timelines, and fees for each engagement are set out in a separate written Service Agreement or Proposal, which forms part of our contract with you.
3. Quotations and Pricing
All quotations are valid for 30 days from the date of issue unless otherwise stated. Prices are quoted exclusive of VAT unless explicitly stated otherwise. We reserve the right to revise pricing where the scope of work materially changes from that originally quoted.
4. Payment Terms
Unless otherwise agreed in writing, invoices are payable within 30 days of issue. Late payments attract interest at the prescribed rate under the National Credit Act. We reserve the right to suspend services for accounts in arrears of 60 days or more.
5. Intellectual Property
All reports, drawings, plans, specifications, and other deliverables produced by HSEQ Consulting remain our intellectual property until full payment is received. Upon receipt of full payment, you are granted a non-exclusive licence to use the deliverables for the specific project purposes outlined in your Service Agreement.
All content on this website — including text, graphics, logos, and images — is the property of HSEQ Consulting and protected by South African copyright law.
6. Confidentiality
Both parties agree to keep confidential all proprietary or sensitive information disclosed in the course of the engagement. This obligation survives the termination of any agreement. Client site data, financial information, and project specifications are treated as strictly confidential.
7. Limitation of Liability
To the maximum extent permitted by South African law, HSEQ Consulting's total liability for any claim arising out of or in connection with our services shall not exceed the fees paid by you for the specific service giving rise to the claim in the 12 months preceding the event.
We shall not be liable for indirect, consequential, incidental, or special damages, including loss of profit or revenue, even if advised of the possibility of such damages. This limitation does not apply to liability arising from gross negligence or willful misconduct.
8. Professional Standards
Our services are delivered in accordance with applicable South African legislation, including but not limited to the Occupational Health and Safety Act (Act 85 of 1993), the Construction Regulations, 2014, and relevant SANS standards. Our professional opinions and recommendations are advisory in nature and do not replace the responsibilities of registered professionals where such registration is a legal requirement.
9. Termination
Either party may terminate an engagement by giving 30 days' written notice. You remain liable for payment of all work completed up to the date of termination. In cases of material breach, the non-breaching party may terminate with immediate effect upon written notice.
10. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Gauteng Division, Johannesburg. The parties agree to attempt good-faith mediation before commencing litigation.
11. Changes to Terms
We reserve the right to update these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Continued use of our services constitutes acceptance of the updated Terms.
